Features, pages, integrations, revisions, APIs, third-party services and other deliverables not included in the agreed scope may be treated as additional work.
Additional work may result in:
- Additional charges;
- Additional development time;
- Changes to the project timeline.
Digital Care India will communicate significant scope changes with the client where reasonably possible before undertaking additional chargeable work.
6. Client Responsibilities
The client is responsible for providing accurate and timely:
- Business information;
- Text/content;
- Images and graphics;
- Logos and branding materials;
- Product information;
- Login credentials where required;
- API credentials;
- Domain/hosting information;
- Legal documents;
- Approvals and feedback.
The client represents that they have the necessary rights and permissions to provide any materials supplied to Digital Care India.
Delays caused by the client’s failure to provide required information, feedback, approvals or access may affect the project timeline.
7. Content and Legal Responsibility
The client is responsible for the legality and accuracy of content supplied for publication on their website, application or software.
This includes:
- Text;
- Images;
- Videos;
- Product information;
- Pricing;
- Copyrighted materials;
- Trademarks;
- Policies;
- Legal claims;
- Regulatory information.
Digital Care India is not responsible for legal claims arising from content supplied or approved by the client.
The client should obtain independent legal, tax, regulatory or professional advice where required.
8. Project Timelines
We will make reasonable efforts to complete projects within the estimated timeline communicated to the client.
However, timelines may be affected by:
- Delays in receiving content;
- Delayed approvals;
- Changes in requirements;
- Third-party services;
- API approvals;
- Payment delays;
- Hosting or domain issues;
- App-store review processes;
- Payment gateway approval;
- Government or regulatory requirements;
- Force majeure events;
- Technical issues outside our reasonable control.
Therefore, estimated delivery dates should not be treated as guaranteed deadlines unless expressly agreed in writing.
9. Design and Revisions
The number of design revisions included in a project will depend on the agreed quotation or scope of work.
Additional revisions or substantial changes after approval may incur additional charges.
Once a design, page, functionality or project milestone has been approved by the client, subsequent changes may be treated as additional work.
10. Payments
Payment terms will be specified in the applicable quotation, proposal or agreement.
Unless otherwise agreed in writing, Digital Care India may require an advance payment before beginning development work.
Payments may be made through the payment methods communicated by Digital Care India.
The client is responsible for providing accurate payment information and completing payments within the agreed timeframe.
11. Late Payments
If a client fails to make a payment when due, Digital Care India may:
- Pause development;
- Suspend access to applicable services;
- Delay delivery;
- Suspend maintenance or support;
- Withhold final deliverables until outstanding amounts are paid.
Any resulting delay may affect the project completion date.
Where applicable, additional charges arising from overdue payments will be communicated to the client.
12. Domain and Hosting
Domain registration and hosting services may be provided directly by Digital Care India or through third-party providers.
Unless expressly stated otherwise in a quotation:
- Domain registration fees are separate from development charges;
- Hosting charges are separate from development charges;
- Domain renewal fees are payable by the client;
- Hosting renewal fees are payable by the client;
- Third-party provider charges may change;
- Hosting performance is subject to the provider’s infrastructure and policies.
Digital Care India is not responsible for outages or service interruptions caused by third-party hosting or domain providers.
13. Third-Party Services and Integrations
Websites and applications may require third-party services such as:
- Payment gateways;
- Google services;
- Meta services;
- WhatsApp;
- Email services;
- SMS providers;
- Hosting providers;
- Maps;
- APIs;
- Plugins;
- App stores;
- Cloud platforms;
- Analytics platforms.
Third-party services may have their own fees, terms, privacy policies, technical limitations and approval processes.
Digital Care India does not guarantee the continued availability, pricing or functionality of third-party services.
14. Payment Gateway and Merchant Approval
Where a project requires integration with a payment gateway, the client is responsible for completing the payment provider’s onboarding, KYC and business verification requirements.
Approval or rejection of a merchant account is determined by the relevant payment gateway.
Digital Care India does not guarantee payment-gateway approval.
15. Search Engine Optimization and Digital Marketing
Digital marketing and SEO services are intended to improve online visibility, traffic and potential customer acquisition.
However, Digital Care India does not guarantee:
- A specific Google ranking;
- A specific number of leads;
- A specific number of sales;
- A specific advertising return;
- Approval of advertisements;
- Continued ranking positions.
Search engines and advertising platforms operate independently and may change their algorithms, policies and advertising systems at any time.
Advertising budgets paid to platforms such as Google or Meta are separate from Digital Care India’s professional service fees unless expressly stated otherwise.
16. Website and Software Maintenance
Maintenance and support services are provided according to the applicable maintenance plan or agreement.
Unless specifically included, maintenance may not cover:
- Major redesigns;
- New modules;
- New applications;
- Major functionality changes;
- Third-party service failures;
- Server-level problems outside our control;
- Client-created technical issues;
- Malware resulting from unauthorized access;
- Changes to third-party APIs.
Additional work may be charged separately.
17. Mobile Applications
For Android and iOS applications, publication and approval are subject to the policies of the relevant app stores.
Digital Care India does not guarantee:
- App-store approval;
- Approval within a specific timeframe;
- Continued listing;
- Acceptance of particular features by an app store.
The client may be responsible for app-store developer accounts, registration fees and other platform charges unless otherwise agreed.
18. Intellectual Property
Unless otherwise agreed in writing, Digital Care India retains ownership of its pre-existing:
- Source code;
- Frameworks;
- Development methods;
- Libraries;
- Templates;
- Tools;
- Reusable components;
- Internal systems;
- Technical processes.
Upon full payment of the agreed project fees, the client will receive the agreed final deliverables specified in the project scope, subject to any third-party licenses or restrictions.
Third-party themes, plugins, libraries, APIs, fonts, stock images and other licensed materials remain subject to their respective licenses.
19. Client-Supplied Intellectual Property
The client retains ownership of intellectual property that they provide to Digital Care India, including:
- Logos;
- Trademarks;
- Business content;
- Product information;
- Photographs;
- Videos;
- Documents.
The client grants Digital Care India permission to use such materials solely as reasonably necessary to provide the agreed services.
20. Portfolio and Promotional Use
Unless the client has specifically requested otherwise in writing, Digital Care India may identify completed projects in its portfolio for promotional and business-development purposes.
This may include displaying:
- Project screenshots;
- Website links;
- Client/project name;
- General description of services provided.
Confidential information will not intentionally be disclosed for promotional purposes.
A client may request that their project not be publicly displayed, subject to reasonable consideration and any contractual requirements.
21. Confidentiality
Both parties should take reasonable steps to protect confidential information received from the other party.
Confidential information may include:
- Business strategies;
- Login credentials;
- Customer information;
- Financial information;
- Technical information;
- Proprietary documents;
- Unpublished product or project information.
Confidential information should not be disclosed to unauthorized parties except where required by law or reasonably necessary to provide the contracted services.
22. Data Protection and Privacy

Where backup services are specifically included in the project or maintenance agreement, Digital Care India will make reasonable efforts to maintain backups according to the agreed service.
Unless expressly included, Digital Care India does not guarantee that a backup will exist for every file, database, email account or third-party service.
Clients are encouraged to maintain independent backups of critical business data.
25. Cancellation and Termination
Either party may request termination of a project or service in accordance with the applicable agreement.
If a client cancels a project after work has commenced:
- Charges may remain payable for work already completed;
- Third-party expenses already incurred may remain payable;
- Advance payments may be adjusted against completed work and applicable expenses;
- Work may be suspended until outstanding amounts are resolved.
Where a project is terminated because of a client’s material breach, Digital Care India may suspend or terminate services after providing reasonable notice where appropriate.
26. Refunds
Refund eligibility will depend on the nature of the service, project stage, applicable quotation/agreement and expenses already incurred.
Services that have already been performed, delivered or substantially completed may not be refundable.
Third-party fees, domain fees, hosting fees, advertising expenditure, licenses and similar charges may be non-refundable where the relevant provider does not provide a refund.
Any refund, where applicable, will be considered according to the agreed commercial terms and applicable law.
27. Disclaimer of Warranties
Our website and general information are provided on an “as available” basis.
To the extent permitted by applicable law, Digital Care India does not warrant that:
